During the course of her distinguished career, Christine Deutsch has structured many complex transactions and can quickly identify the most efficient way to resolve your deal. Drawing on a deep knowledge of commercial real estate law, she customizes each deal to the business and the assets in question.

Leasing

Christine has represented both owners and tenants of office, warehouse, industrial and retail space. She spent a year with a national drugstore chain during a major expansion, negotiating leases for pad sites and in-line stores, and represented another national retailer in a major rollout of new stores in shopping centers.

Most recently, Christine helped the City of Philadelphia negotiate a lease of its section of the transit system to the local Transit Authority, as well as a complex ground lease transaction with a local hospital for a new health center, recreational center and library on South Broad Street. That project was featured in the February issue of Urban Land Magazine: Bringing Better Health Outcomes to South Philadelphia.

Financing

Christine has successfully negotiated millions of dollars of financing for her clients, including construction and permanent loan facilities secured by office buildings, retail centers, hospitals, golf courses and cell phone tower portfolios.

In connection with the merger of two public Real Estate Investment Trusts, Christine negotiated the assumption of $300M+ in securitized debt and the defeasance of another $60M of securitized debt. She represented the borrowers of a $145M first-priority loan and a $55M mezzanine loan in connection with the acquisition of a portfolio of office and retail buildings in Atlanta, Georgia.

She assisted a lender in restructuring a troubled loan secured by a portfolio of more than 200 assisted living facilities located around the country, and a guarantor restructuring more than $1.2B of real estate loan guaranties. And when restructuring fails, she has experience enforcing remedies against defaulting borrowers. In the recent economic downturn she represented a Senior Servicer in the foreclosure of a number of commercial real estate loans and the sale of REO properties.

Purchases and Sales

Christine has represented buyers and sellers of many types of real property including shopping centers, office buildings, cellular towers, golf courses and portfolios.

She negotiated the sale of an 820-space parking garage underneath JFK Plaza in Center City, Philadelphia and the redevelopment of the park above it for the City of Philadelphia. In conjunction with that project, she created an air-rights regime with a Declaration of Covenants and Easements governing the rights and obligations of the owners of the park and the parking garage, as well as those of several adjacent owners.

She worked with an international office REIT undergoing a major expansion in the Eastern United States, assisted a telecommunications tower company in the sale of its assets to a national REIT, and the purchaser of a 21-property portfolio of office and retail buildings held as either estate-for-years interests or ground lease interests.

Development

Christine has represented the interests of both financial and development partners in the negotiation of Joint Venture, Development, Property Management and Leasing Agreements.

She represented the developer of a 700,000 square foot state-of-the-art refrigerated wholesale market, negotiating a complex structure of sale and lease transactions amongst the landowner, the developer and the tenant, and negotiated and coordinated financing from a number of public and private sources.

She worked with the developer of a 190-acre mixed office and retail project, drafting and negotiating the Declaration of Easements and Covenants for the Center, Agreements of Sale and Site Development Agreements with big-box retailers, and a Declaration of Condominium for the retail parcels.

She has created other condominiums for office, retail, warehouse and residential projects, including a flexible condominium for a 150-acre office park in connection with a major pharmaceutical company’s relocation of its corporate headquarters, as well as for three retail malls.

She has also represented both property owners and developers in the negotiation of agreements related to the development of both raw and improved land, including the Architectural Services Agreement and Construction Contract for a Community College developing a residential campus.


This experience with complex transactions enables her able to handle more straightforward transactions quickly and efficiently.
